Vishal Garg Unveils Ambitious "Better 2.0" Strategy: Cost Cuts, Business Expansion, and Shareholder Value at the Forefront

Vishal Garg, having successfully reasserted control over Better Home & Finance Holding Co. by reclaiming a majority on its board of directors, has articulated a comprehensive strategy for the company’s future. Dubbed "Better 2.0," this initiative, detailed during a pivotal shareholder call on Tuesday afternoon, centers on a multi-pronged approach encompassing significant cost reductions, strategic expansion of key business lines, and a renewed focus on shareholder returns through a share repurchase program. This strategic pivot comes at a critical juncture for Better, following a period of intense internal turmoil that saw Garg temporarily ousted from leadership.

The "Better 2.0" Blueprint: A Strategic Overhaul

During an extensive presentation and a subsequent question-and-answer session, Garg laid out the core tenets of his revitalized vision for Better. A central pillar of this strategy involves a rigorous cost-cutting initiative. The company currently expends approximately $65 million per quarter on operating expenses. Garg has set an ambitious target to reduce this figure to around $50 million per quarter. This aggressive reduction is intended to be coupled with a parallel effort to boost quarterly revenue from its current standing in the $50 million range to exceed $65 million. Garg emphasized the potential impact of achieving even partial success in these dual objectives, stating, "If we get halfway to our goals in either direction, we’re at break-even." This suggests a clear path toward financial stability and profitability being a primary objective for the immediate future.

Beyond cost optimization, Garg signaled a significant expansion of Better’s wholesale and home equity businesses. The home equity line of credit (HELOC) segment, in particular, is slated to become a major growth engine. The company has already secured a partnership with Credit Karma to facilitate the launch of its HELOC products. Furthermore, Better is actively pursuing renewed discussions with five other prominent potential partners whose engagement was previously hampered by the leadership dispute. This renewed outreach underscores a commitment to rebuilding and expanding crucial business relationships.

The wholesale mortgage sector is also poised for accelerated growth. Garg declared that Better is moving "full speed ahead" in this area. Historically, Better has primarily concentrated on direct-to-consumer lending and strategic partnerships. However, the "Better 2.0" strategy signifies a deliberate broadening of its market reach, aiming to serve customers through a trifecta of direct, retail, and wholesale channels. This diversified approach is designed to capture a larger share of the mortgage market and mitigate risks associated with over-reliance on a single channel.

Leadership Transition and Board Realignment

A key development accompanying Garg’s strategic outline is the impending appointment of a new interim Chief Executive Officer. Garg indicated that a candidate has been identified and that the finalization of their engagement is imminent. This move follows the company’s official notification to the Securities and Exchange Commission (SEC) on Tuesday, detailing the removal of Daniel Lewis as interim CEO, effective October 5th, and the subsequent initiation of a search for his successor.

The search is not limited to an interim role; Better is also actively seeking a permanent CEO with a robust background in credit, artificial intelligence (AI), and fintech. Garg himself stated his intention to remain a prominent figure, the "face of" the company, though his specific future role has not yet been defined. He offered a candid reflection on leadership, acknowledging his personal style: "I think that real leaders are able to lead with empathy while driving results. I’m able to drive results without empathy, and so I can’t be a real leader of the company. We’re going to get a real leader of the company that can drive results and take the things that I’m really, really good at, and then drive them with empathy." This statement suggests a recognition of the need for a leadership complement that balances operational prowess with interpersonal skills crucial for sustained organizational health.

The shareholder call occurred in the wake of a successful consent solicitation led by Garg and his allies. This action resulted in the removal of five incumbent directors: Daniel Lewis, Arnaud Massenet, Bhaskar Menon, Prabhu Narasimhan, and Harit Talwar. Hugh Frater, who had previously indicated his intention to resign if Garg assumed an executive position, departed the board simultaneously with these removals, as confirmed by the SEC filing. With Garg now serving as the sole remaining director, he has moved to fill the vacant board seats by appointing Bing Gordon, Steven Sarracino, Paula Tuffin, and Nicholas Calamari. This reconstituted board is expected to provide a new governance framework aligned with Garg’s strategic direction.

Financial Fortification and Strategic Asset Sales

A critical component of Garg’s financial strategy involves the divestment of Better’s U.K. banking subsidiary, Birmingham Bank. This sale is anticipated to generate approximately $65 million in cash for Better, with the final amount contingent upon the bank’s loan portfolio and operational performance. Post-transaction, Better projects a cash reserve exceeding $140 million. This financial infusion is crucial for bolstering the company’s balance sheet and is expected to obviate the need for additional capital raising within the next twelve months.

Better announced on Monday that a consortium of buyers had placed 10 million pounds in escrow for the acquisition of Birmingham Bank. The transaction remains subject to regulatory approvals and other customary closing conditions. Garg expressed optimism that the sale will be finalized within three to four months, aligning with the company’s objective to reach break-even without requiring external funding. This strategic sale of a non-core asset demonstrates a focus on streamlining operations and strengthening liquidity.

Shareholder Value and Technological Advancement

Garg also articulated Better’s intent to initiate a stock repurchase program "as soon as practical." This move is predicated on his assessment that the company’s shares are currently undervalued when compared to other technology-focused mortgage platforms. A share buyback program can signal management’s confidence in the company’s future prospects and is often viewed favorably by investors as it can increase earnings per share and signal a commitment to returning capital to shareholders.

In parallel with these strategic and financial maneuvers, Better is leveraging technology to enhance its operational efficiency and product offerings. The company is actively employing AI to reduce production costs and streamline its mortgage processing workflow. This involves a sophisticated integration of large language models, machine learning, and a deterministic engine to ensure greater consistency in its operations. Garg highlighted that improving mortgage-funnel conversion rates—specifically, enhancing performance from lead generation to loan lock, and from lock to funding—could effectively double revenue without incurring additional costs. This focus on optimizing conversion metrics underscores a data-driven approach to growth.

Addressing Past Challenges and Future Outlook

Garg candidly acknowledged the disruptive impact of the two-month leadership dispute that began in August following his initial removal as CEO. He admitted that this period of uncertainty had strained relationships with business partners, with some choosing to align with competitors. However, he also conveyed a sense of resilience and forward momentum, stating, "We may have lost one or two who went and decided to pick someone else. But the pipeline is very full." This suggests that while some partnerships may have been irrevocably affected, Better remains optimistic about its ability to forge new alliances and rekindle existing ones.

The company is also facing a Nasdaq board-related requirement, necessitating the submission of a compliance plan within approximately 45 days, with a 180-day window to rectify the issue. Garg indicated plans to appoint additional directors to meet these listing requirements, suggesting a commitment to robust corporate governance.

Looking further ahead, Better is exploring a marketplace-like model where multiple retail and wholesale brands could operate on its platform. This innovative approach could create a synergistic ecosystem, allowing for broader reach and diversified revenue streams.

In summary, Vishal Garg’s "Better 2.0" strategy represents a decisive attempt to stabilize Better Home & Finance Holding Co., streamline its operations, expand its market presence, and enhance shareholder value. The success of this ambitious plan will hinge on effective execution of cost-saving measures, successful expansion into new business segments, the adept management of leadership transitions, and the ability to navigate the competitive landscape of the mortgage industry. The coming months will be critical in determining whether this revitalized vision can propel Better towards sustained profitability and growth.
