The Real Brokerage and RE/MAX Merger Dominates Combined Q3 2026 Earnings Call Amidst Synergies and Strategic Realignment

The ink may have barely dried on The Real Brokerage’s landmark acquisition of RE/MAX, which officially closed just prior to the end of the third quarter of 2026, but the transformative merger was undeniably the central theme during the Real REMAX Group’s inaugural earnings call with investors and analysts on Thursday morning. The integration of these two prominent real estate entities, a deal valued at approximately $880 million, is already reshaping the landscape of residential real estate brokerage, with executives outlining ambitious plans for synergy realization and strategic repositioning.

"It’s been an exciting two months, and I’m encouraged that we’re already seeing what this combined organization is capable of," stated Tamir Poleg, the CEO of the newly formed Real REMAX Group, addressing stakeholders. Poleg, a recognized HousingWire Vanguard award winner for his leadership and innovation, acknowledged the inherent complexities of merging two distinct corporate cultures and operational frameworks. "I think that the biggest challenge is bringing together two very different organizations and making sure we move with the speed and urgency that this opportunity requires." He emphasized that the objective extends beyond a simple consolidation. "Our job isn’t simply to put the two companies together," Poleg elaborated. "It’s to take the best of both, simplify how we operate, and build a much stronger value proposition for agents and franchise owners." This sentiment underscores a commitment to leveraging the complementary strengths of both Real and RE/MAX, while meticulously addressing their divergent operating models, cultural nuances, and established practices.

Unlocking Cost Synergies and Streamlining Operations

The initial phase of integration has already yielded significant financial benefits, according to company executives. Since the acquisition’s close just over two months ago, Real REMAX Group, a RealTrends Verified brokerage, has identified more than $40 million in annualized gross cost savings. The projected impact on profitability is substantial, with expectations to realize over $30 million in adjusted EBITDA synergies by the end of full-year 2027, a figure anticipated to climb to more than $40 million in full-year 2028.

This pursuit of efficiency has necessitated a strategic workforce realignment. The combined entity has reduced its headcount by over 14%, eliminating more than 150 positions across the organization. Company executives indicated that this initial phase of restructuring is largely complete, but the drive for operational simplification and enhanced efficiencies continues. Key areas of focus include the consolidation of technology systems, vendor relationships, and other duplicative costs to create a more streamlined and cost-effective operational infrastructure.

In tandem with headcount adjustments, Real REMAX Group is actively divesting from "underperforming businesses," a move previously highlighted by HousingWire regarding RE/MAX’s ancillary services. This includes the winding down of Motto Mortgage and wemlo, with resources being strategically reallocated to areas demonstrating greater long-term growth potential. As of the end of August, Motto Mortgage’s franchise network comprised 151 offices, many of which Real executives acknowledged were operating at a loss.

Jenna Rozenblat, the company’s President and Chief Integration Officer and a distinguished HousingWire Woman of Influence and Vanguard award winner, provided specific details on this strategic pivot. "In just two months, approximately 69% of the network or 104 offices have already closed and 92% of the network is now moving towards termination," Rozenblat stated during the call. "We understand these are difficult decisions, but given the legacy RE/MAX mortgage businesses generated a combined $5 million adjusted EBITDA loss in 2025, these actions are necessary to build a more focused, efficient, and profitable organization." This decisive action signals a clear intent to prune underperforming assets and concentrate on core brokerage operations and high-potential ancillary services.

Addressing Agent Count Dynamics and Reinvigorating the RE/MAX Brand

Beyond the consolidation of corporate functions and the divestment of ancillary businesses, a significant strategic imperative for Real REMAX Group is the revitalization of the RE/MAX brand, particularly in the face of declining agent counts in key markets. In the U.S. and Canada, the RE/MAX franchise brand experienced a 3% annual decline in its agent roster, settling at 72,118 agents. Globally, however, RE/MAX demonstrated resilience, with its agent count increasing by 0.4% year-over-year to a total of 148,088 agents.

In contrast, The Real Brokerage experienced robust growth in its agent base during the same quarter, with a 21% annual increase to 36,610 agents. However, the company noted a slight dip in its own agent count to approximately 36,000 as of early November, attributed to the proactive offboarding of over 500 agents due to unpaid dues or expired real estate licenses. This proactive measure, while temporarily impacting numbers, underscores a commitment to maintaining a compliant and active agent roster.

Rozenblat expressed optimism regarding the future of the RE/MAX brand despite these challenges. "While the North American agent count trends remain challenging, I’ve spent considerable time with RE/MAX broker-owners over the past two months, and one thing has become abundantly clear: the strength of this brand and the passion of the people behind it are extraordinary," she remarked. "We don’t expect an immediate reversal in agent attrition in a franchise business, but our priority is to improve franchise owner economics and help them deliver a more competitive value proposition to agents and the clients they serve." This focus on enhancing the value proposition for both franchise owners and agents is seen as crucial for stemming attrition and fostering renewed growth.

A pivotal development in the effort to reinvigorate the RE/MAX brand is the recent appointment of Alex Vidal, former president of ERA, as the new president of RE/MAX. Poleg highlighted Vidal’s immediate impact. "Within just a few weeks, Alex managed to generate a lot of excitement and energy around the RE/MAX network," Poleg stated. "He’s traveling the country. He’s talking to a lot of broker-owners, a lot of agents, and I think that there’s just a renewed energy around the brand and within the network, and that’s great because energy is contagious, and if you want to grow, you need that type of energy."

Notably, the company did not address the breach of contract lawsuit filed by Compass International Holdings, the parent company of ERA, against Vidal, alleging a violation of his non-compete agreement. This legal challenge, while potentially a distraction, has not visibly dampened the enthusiasm surrounding Vidal’s leadership within the RE/MAX network.

Furthermore, Real REMAX Group is committed to equipping RE/MAX agents, franchisees, and broker-owners with access to Real’s proprietary technology suite. This includes the advanced reZEN technology platform and the recently launched Leo Pro AI platform, which offers innovative agent-to-agent referral tools. This technological integration is expected to enhance productivity and provide a competitive edge for RE/MAX affiliated professionals.

Q3 2026 Financial Performance and Future Outlook

The Q3 2026 earnings report, presented on a pro forma basis assuming the acquisition closed on January 1, 2025, revealed a significant increase in revenue. Total revenue for the quarter reached $770.0 million, marking a 20% annual increase. However, this top-line growth was accompanied by a widening net loss, which escalated to $67.223 million, a stark contrast to the $280,000 net loss reported in the same period of the previous year. This increase in net loss reflects the substantial integration costs and strategic investments associated with the merger.

Within the company’s ancillary services, One Real Title demonstrated positive momentum, with revenue climbing to $1.616 million, an increase of over $300,000 year-over-year. The title attach rate remained steady at approximately 3%, with joint venture title operations achieving significantly higher attach rates of up to 40% or even 70%.

Conversely, One Real Mortgage experienced a revenue decline in Q3, falling to $1.508 million compared to $1.757 million in the prior year. Executives attributed this downturn to the prevailing high-interest rate environment during the quarter. Poleg noted that the mortgage attach rate continues to remain below 1%, but expressed optimism about future growth potential. This optimism is fueled by an increasing number of agents expressing interest in becoming licensed loan officers and the company’s recent experimentation with directing leads from RE/MAX.com to One Real Mortgage. "We’re actually seeing encouraging data, but it is still a little too early to actually draw any conclusion from," Poleg commented. "It’s kind of an ongoing effort."

Looking ahead, Real REMAX Group executives identified multiple avenues for value creation that are not contingent on a broad housing market recovery. These include achieving organic market share gains for Real, realizing cost savings and operational efficiencies at RE/MAX, and expanding margins across the firm’s suite of ancillary services, such as mortgage, title, and Real Wallet. This diversified strategy aims to drive profitability through internal improvements and enhanced service offerings.

Embracing Data Transparency with Open Real Estate

In a significant strategic move, Real REMAX Group has announced its decision to become a founding member of the national residential real estate data-sharing initiative, Open Real Estate. This initiative aims to foster a more open, transparent, and competitive ecosystem for real estate data distribution.

Poleg articulated the rationale behind this commitment. "We joined Open Real Estate because we believe the industry would benefit from a more open, transparent and competitive approach to how real estate data is distributed," he stated. "As one of the largest real estate platforms in the world, we think that it’s important that Real REMAX Group has a seat at the table in shaping how that ecosystem evolves."

While it remains premature to speculate on specific products or revenue opportunities stemming from the initiative, Poleg emphasized its strategic importance. "Strategically, Real REMAX Group sees the potential to create a more efficient marketplace that ultimately benefits agents, brokers, broker-owners, and consumers," he concluded. "That’s why we’re excited to be involved." This participation signals a forward-thinking approach to data management and a commitment to contributing to the evolution of the broader real estate industry. The integration of RE/MAX into The Real Brokerage platform represents a pivotal moment, and the company’s earnings call provided a detailed, albeit early, glimpse into the strategic direction and operational adjustments underway to harness the combined strengths of these two industry giants.
